Companies Establishment, Registration, Merge and Liquidation
The Group provides complete services in the field of establishment, founding, and organization of institutions and companies of all types, whether local or foreign, drafting and setting its contracts and its amendment contracts, registration, and publication in accordance with the law regulating it and the extraction of its commercial records, tax card, and value-added taxes, as well as their sub-records and adding it to the tax card in commercial books.
- The Group offers many remarkable and distinguished services, for example, not limited to attending meetings, negotiations, and deliberations of the founders, participating in it and giving opinions that are appropriate to the applicable legal systems, preparing memorandums of intent, drafting, preparing, and setting contracts and documents of establishing the companies of all kinds, take all the necessary measures to merge companies either with it sister companies or with companies owned by third parties and change the legal form of companies and regulate the sale and trading of securities and shares and the stock exchange and deal with the Financial Supervisory Authority and the Central Bank of Egypt.
- Drafting and setting the minutes of the Ordinary and Extraordinary General Assemblies, the minutes of the Board of Directors and the administrative resolutions, its approval, and the marking thereof, as well as all the procedures related to social insurance and taxes.
- Taking the necessary measures to open branches of the foreign companies and commercial agencies in Egypt, establishing representative and liaison offices for foreign companies and free zone facilities, establishing free zone companies, and carrying out all legal termination procedures for companies, either by dissolving the company, terminating its contract, or issuing bankruptcy, completing the liquidation, regulating the exit between the partners, dividing the assets between the partners, whether in cash or in-kind and direct the evaluation work of the quotas and distribution among the partners and granting each entitled party its right.
- As well as for large and small individual institutions, and following up the procedures of those companies and institutions in terms of publishing, founding, advertising, and obtaining the necessary licenses.
- Preparing the necessary studies required by the nature of the internal transactions of the companies, including, for example, contracts of employment, investments and rentals and relationship with business partners,
- The Group shall extract the import and export cards, production requirements, agents' registration, commercial and local intermediaries, and other services related to the General Authority for Export and Import Control, Industrial Development Authority, and others.
It also provides all services related to the business at the local, regional and international levels. Among such services include, but are not limited to the preparation and drafting of the construction contracts of various types, whether for residential or other purposes, industrial and commercial financing contracts, and local and international financing contracts for individuals, companies, and other businesses.
- The Group also provides all legal and useful in all these transactions and its related legal matters and disputes. The Group assigned one of the Group's specialized legal centers, called the International Legal Center for the Establishment of Companies and Disputes of Investment.
